Terms & Conditions — Partner

1. Acceptance of Terms

1.1. By downloading, installing, or using the wiprz app (hereinafter referred to as "the App"), you (hereinafter referred to as "the User") agree to be bound by these Terms and Conditions.

1.2. If you do not agree to these terms, you must immediately uninstall the App and discontinue its use. If you are using this application, it is deemed to be that you are agreeing to the terms and conditions of this agreement.

1.3. wiprz reserves the right to modify these Terms and Conditions at any time. Continued use of the App after such modifications constitutes acceptance of the updated terms.

2. Service Description

2.1. wiprz is a platform that connects Users with service providers (hereinafter referred to as "Service Partners") for home car cleaning services.

2.2. The App facilitates the booking of car cleaning services (list any other services to be provided) to be performed at a location specified by the User.

2.3. wiprz does not provide cleaning services directly but acts as an intermediary between Users and Service Partners. wiprz has no legal liability for any actions of the users or service providers as all it does is act as intermediary and provides a platform for the users seeking the services and the service providers who are willing to provide these services.

2.4. Service Limitations

2.4.1. The services offered by wiprz can be availed only through the App. Any service taken by the User from a registered Service Partner outside the App shall not be considered a service provided by wiprz. wiprz holds the right to suspend the account of any such user and service partner without any prior warning or intimation if either is discovered using/providing the service outside the App.

2.4.2. wiprz shall not be held liable for any damage, loss, or other mishap resulting from services arranged between Users and Service Partners outside the App platform.

3. User and Service Partner Registration 3.1. User Registration

3.1.1. Users must register on the App by providing accurate, complete, and up-to-date information, including but not limited to:

a) Full name
b) Valid mobile number
c) Email address
d) Residential address

3.1.2. Users are responsible for maintaining the confidentiality of their account information, including username and password.

3.1.3. Users must be at least 18 years old to register and use the App.

3.1.4. Users agree to immediately notify wiprz of any unauthorized use of their account or any other breach of security.

3.1.5. wiprz reserves the right to refuse registration or cancel accounts at its discretion.

3.1.6. Users are liable for providing accurate and truthful information during profile creation and maintenance. wiprz shall not be held responsible for any consequences arising from inaccurate or false information provided by Users.

3.2. Service Partner Registration

3.2.1. Service Partners must create a profile on the App by providing accurate, complete, and up-to-date information, including but not limited to:

a) Full name
b) Valid mobile number
c) Email address
d) Residential address
e) Valid identification documents
f) Any required professional certifications

3.2.2. Service Partners are liable for providing accurate and truthful information during profile creation and maintenance.

3.2.3. wiprz reserves the right to verify the information provided by Service Partners and may require additional documentation.

3.2.4. wiprz shall not be held responsible for any consequences arising from inaccurate or false information provided by Service Partners.

4. Booking Services

4.1. Users can select desired services from the options provided in the App.

4.2. Users must specify the exact location where the service is to be performed.

4.3. All bookings are subject to Service Partner availability in the specified area.

4.4. Users agree to provide accurate vehicle information when booking a service, including:

a) Make and model of the vehicle
b) Vehicle registration number
c) Any specific cleaning requirements or concerns

4.5. wiprz reserves the right to cancel or reschedule bookings due to unforeseen circumstances or Service Partner unavailability without paying any compensation for reschedule or cancel.

4.6. Vehicle Eligibility

4.6.1. By booking a service through the App, Users certify that their vehicle meets all legal requirements for operation and insurance in the jurisdiction where the service is to be performed.

4.6.2. wiprz reserves the right to cancel or suspend services for any vehicle that is found to be non-compliant with local regulations or insurance requirements.

5. Service Provision

5.1. Service Partners will arrive at the specified location with necessary cleaning tools and equipment.

5.2. Users are required to provide access to water for the cleaning service. The water source should be within a reasonable distance (not exceeding 50 meters) from the vehicle.

5.3. Service Partners will upload before and after pictures of the vehicle for quality assurance purposes. These pictures will be stored securely and may be used for quality assurance and service improvement.

5.4. The User or a designated representative must be present at the beginning and end of the service to verify the condition of the vehicle.

5.5. If the User or their representative is not present within 15 minutes of the scheduled time, the Service Partner may cancel the service, and cancellation fees may apply.

6. Payments

6.1. All payments will be processed through the App using secure payment methods approved by the Reserve Bank of India.

6.2. Prices for services are as listed in the App and may be subject to change. Any price changes will be communicated to Users in advance.

6.3. Users agree to pay for services rendered upon completion. Payment must be made within 24 hours of service completion.

6.4. wiprz may offer various payment options, including but not limited to: a) Credit/Debit cards
b) Net banking
c) UPI

d) Digital wallets

6.5. In case of payment failure, Users agree to settle the outstanding amount within 3 business days.

6.6. All payments for services shall be made directly to wiprz through the App's secure payment system. Users shall not make payments to Service Partners or any third party for services booked through the App.

6.7. Any payments made outside the App's payment system are not recognized by wiprz and may result in the termination of User and/or Service Partner accounts.

7. Cancellations, Refunds, and Payments

7.1. Users may cancel a booking up to 2 hours before the scheduled service time without penalty.

7.2. Cancellations made less than 2 hours before the scheduled service time will incur a cancellation fee of 20% of the service cost.

7.3. No-shows or cancellations after the Service Partner has arrived at the location will incur a fee of 50% of the service cost.

7.4. Refunds will be processed within 5-7 business days and will be credited to the original payment method.

7.5. In case of service quality issues, Users must report the problem within 24 hours of service completion. wiprz will investigate and may offer a re-clean or partial/full refund at its discretion.

7.6. All refunds shall be processed only through the App after thorough verification and confirmation by wiprz.

8. User Responsibilities

8.1. Users must ensure their vehicle is accessible to the Service Partner at the scheduled time.

8.2. Users are responsible for removing valuable items from their vehicle before the service. wiprz and Service Partners are not responsible for any loss or damage to items left in the vehicle.

8.3. Users must provide a safe working environment for Service Partners, including adequate lighting and a secure location.

8.4. Users must inform wiprz of any pre-existing damage to their vehicle before the service begins.

8.5. Users agree not to request any services that are illegal or violate local regulations.

8.6. Vehicle Documentation and Insurance

8.6.1. Users represent and warrant that any vehicle submitted for cleaning services through the App is properly registered and insured as required by applicable laws.

8.6.2. Users may be required to provide proof of valid vehicle documentation and insurance upon request.

8.6.3. Users acknowledge that they bear full responsibility for any liabilities, damages, or losses arising from the use of inadequately insured or improperly documented vehicles in connection with the services provided through the App.

8.6.4. wiprz reserves the right to refuse service for any vehicle that does not meet legal requirements for operation and insurance.

9. Service Partner Responsibilities

9.1. Service Partners must arrive at the specified location within 15 minutes of the scheduled time.

9.2. Service Partners must perform services to the best of their abilities and in accordance with wiprz standards and training.

9.3. Service Partners must respect Users' property and privacy, and maintain professional conduct at all times.

9.4. Service Partners must use only approved cleaning products and equipment provided or authorized by wiprz.

9.5. Service Partners must report any issues or damages immediately to wiprz and the User.

10. Liability

10.1. wiprz is not liable for any damage to vehicles during the cleaning process, except in cases of gross negligence or willful misconduct by the Service Partner.

10.2. Users agree to report any issues or damages within 24 hours of service completion. Claims made after this period may not be considered.

10.3. wiprz's liability is limited to the cost of the service provided.

10.4. wiprz is not responsible for any personal items left in vehicles or any consequential damages.

10.5. Users agree to indemnify and hold wiprz harmless from any claims, damages, or losses arising from their use of the App or services.

10.6. Insurance-Related Liabilities

10.6.1. In the event of any damage, loss, or liability arising from the use of the services, the User's personal vehicle insurance shall be considered the primary coverage.

10.6.2. Users agree to indemnify and hold wiprz and its Service Partners harmless from any claims, damages, or losses resulting from the User's failure to maintain adequate vehicle insurance or proper documentation.

10.6.3. wiprz may, at its sole discretion, require Users to provide evidence of insurance coverage before processing any claims related to vehicle damage or loss.

10.7. wiprz shall not be held liable for any damages, losses, or other consequences resulting from:

10.7.1. Inaccurate or false information provided by Users or Service Partners during profile creation or maintenance.

10.7.2. Services arranged between Users and Service Partners outside the App platform.

10.7.3. Payments made by Users to Service Partners or third parties instead of through the App's secure payment system.

11. Privacy and Data Protection

11.1. Data Collection and Usage

11.1.1. User data will be collected, stored, and used in accordance with our Privacy Policy and applicable Indian laws, including but not limited to: a) The Information Technology Act, 2000 b) The Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 c) The Personal Data Protection Bill, 2019 (once enacted)

11.1.2. Users consent to the collection and use of their personal data, including sensitive personal data, for service provision purposes.

11.1.3. wiprz implements industry-standard security measures to protect User data but cannot guarantee absolute security.

11.2. Data Subject Rights

11.2.1. Users have the right to: a) Access their personal data b) Correct inaccurate or incomplete data c) Delete their personal data (right to be forgotten) d) Restrict processing of their data e) Data portability

11.2.2. To exercise these rights, Users may contact wiprz at support@wiprz.com.

11.2.3. wiprz will respond to data subject requests within 30 days, subject to verification of identity and legal requirements.

11.3. Data Retention

11.3.1. wiprz will retain User data only for as long as necessary to fulfil the purposes for which it was collected, or as required by law.

11.3.2. Upon account termination, wiprz will delete or anonymize User data within 90 days, except where retention is required by law or for legitimate business purposes.

11.4. Data Sharing and Transfer

11.4.1. wiprz may share User data with Service Partners solely for the purpose of providing the requested services.

11.4.2. wiprz may engage third-party service providers to process User data. Such providers will be bound by confidentiality obligations and data processing agreements.

11.4.3. Any international transfer of User data will comply with the requirements of Indian data protection laws and regulations.

11.5. Data Breach Notification

11.5.1. In the event of a data breach affecting User data, wiprz will notify affected Users and relevant authorities as required by law, without undue delay.

11.6. Cookies and Tracking Technologies

11.6.1. wiprz uses cookies and similar tracking technologies to enhance User experience, analyse App usage, and personalize content.

11.6.2. Types of cookies used include: a) Essential cookies: Necessary for the App to function properly b) Analytical cookies: To analyse App usage and improve performance c) Functional cookies: To remember User preferences and provide enhanced features d) Targeting/advertising cookies: To deliver personalized ads and content

11.6.3. Users can manage their cookie preferences through their device or browser settings. However, disabling certain cookies may affect the functionality of the App.

11.6.4. By using the App, Users consent to the use of cookies as described in this policy.

11.7. Third-Party Links and Services

11.7.1. The App may contain links to third-party websites or services. wiprz is not responsible for the privacy practices or content of these third parties.

11.7.2. Users are encouraged to review the privacy policies of any third-party sites or services they access through the App.

11.8. Children's Privacy

11.8.1. The App is not intended for use by children under the age of 18. wiprz does not knowingly collect personal data from children.

11.8.2. If a parent or guardian becomes aware that their child has provided personal data to wiprz, they should contact us immediately.

11.9. Changes to Privacy Policy

11.9.1. wiprz reserves the right to update its Privacy Policy at any time. Users will be notified of significant changes via email or through the App.

11.9.2. Continued use of the App after changes to the Privacy Policy constitutes acceptance of the new terms.

12. Intellectual Property

12.1. All content and intellectual property within the wiprz App are owned by wiprz and protected by Indian copyright laws.

12.2. Users may not reproduce, distribute, modify, or create derivative works of any material from the App without explicit permission from wiprz.

12.3. The wiprz name, logo, and any other trademarks used in the App are the property of wiprz and may not be used without prior written consent.

13. Modifications to the Service and Terms

13.1. wiprz reserves the right to modify or discontinue the service at any time without notice.

13.2. wiprz may update these Terms and Conditions at any time. Users will be notified of significant changes via email or through the App.

13.3. Continued use of the App after changes to the Terms and Conditions constitutes acceptance of the new terms.

14. Termination

14.1. wiprz reserves the right to terminate or suspend User accounts for violations of these Terms and Conditions or for any other reason at its sole discretion.

14.2. Users may terminate their account at any time by contacting wiprz customer support.

14.3. Upon termination, Users lose all access to the App and its services.

14.4. Sections of these Terms and Conditions that by their nature should survive termination shall remain in full force and effect.

15. Governing Law

15.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

15.2. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Mohali, India.

16. Dispute Resolution

16.1. In the event of any dispute, Users agree to first attempt to resolve the matter informally by contacting wiprz customer support.

16.2. If the dispute cannot be resolved informally, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

16.3. The arbitration shall be conducted in Mohali, India, in the English language. 16.4. The decision of the sole arbitrator shall be final and binding on both parties.

17. Consumer Rights

17.1. Users are entitled to all rights provided under the Consumer Protection Act, 2019.

17.2. wiprz provides a grievance redressal mechanism in compliance with the Consumer Protection (E-Commerce) Rules, 2020.

17.3. Users may file complaints with the appropriate Consumer Disputes Redressal Commission if they are not satisfied with wiprz's resolution of their grievance.

18. Environmental Compliance

18.1. Service Partners agree to use eco-friendly cleaning products and methods in compliance with environmental regulations.

18.2. Users and Service Partners shall ensure proper disposal of wastewater in accordance with the Water (Prevention and Control of Pollution) Act, 1974 and local environmental laws.

18.3. wiprz promotes water conservation and encourages Users and Service Partners to use water responsibly during the cleaning process.

19. Labor Laws

19.1. wiprz and its Service Partners shall comply with all applicable Indian labour laws, including but not limited to the Code on Wages, 2019 and the Occupational Safety, Health and Working Conditions Code, 2020.

19.2. Service Partners are considered independent contractors and not employees of wiprz. They are responsible for their own taxes, insurance, and compliance with labour laws.

20. Aadhaar and KYC

20.1. Users and Service Partners may be required to complete Know Your Customer (KYC) verification in accordance with applicable regulations.

20.2. Aadhaar-based authentication may be used for identity verification, subject to User consent and compliance with the Aadhaar Act, 2016 and related regulations.

20.3. wiprz will store and process Aadhaar data in accordance with the Aadhaar (Authentication and Offline Verification) Regulations, 2021.

21. Force Majeure

21.1. wiprz shall not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, civil unrest, or technological failures.

22. Severability

22.1. If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect and enforceable.

23. Entire Agreement

23.1. These Terms and Conditions constitute the entire agreement between the User and wiprz regarding the use of the App and supersede all prior agreements and understandings.
